Website Subscription Agreement

This Website Subscription Agreement is a binding contract when electronically signed by the Client and accepted by QAF DIGITAL LTD. It is for online signature (e.g. Zoho Sign, Jotform Sign, DocuSign) and applies to clients in the UK, EU, Spain, and elsewhere. 2. Binding agreement

This agreement becomes legally binding when the Client signs electronically and QAF DIGITAL LTD accepts the order (by countersignature, confirmation email, or commencement of agreed work).

3. Parties

Provider: QAF DIGITAL LTD.

Client: full legal name, company name (if applicable), address, email, phone/WhatsApp, and VAT or tax ID (if applicable) as stated on the signed order form or checkout.

4. Client type

The order form must identify whether the Client is a business / professional client or a consumer / individual client.

If the Client is a consumer in the UK, EU, or Spain, nothing in this agreement removes mandatory statutory consumer rights.

5. Package and order details

The signed agreement or attached order form must include:

  • Package name
  • Setup fee
  • Monthly subscription price
  • Currency
  • Billing cycle
  • Included pages
  • Included languages
  • Included support
  • Included monthly edits
  • Hosting included or not
  • Domain included or not
  • Email accounts included or not
  • Automation / AI tools included or not
  • Delivery estimate
  • Payment method

6. Activation Date

The subscription starts from the Activation Date.

Activation Date means the date when the website is first published, made available to the Client, or confirmed in the Website Handover / Activation Confirmation document.

7. Payment terms

The setup fee and first month are normally due before work starts.

The monthly subscription is billed in advance.

Late or failed payments may lead to suspension under our Subscription Policy.

9. Suspension without prior reminders

No live website will be suspended without prior reminders except for fraud, abuse, illegal content, security risk, chargeback, non-compliance, or legal requirement.

10. Ownership and licence

During the subscription, the Client receives a limited licence to use the website while payments are up to date and this agreement is respected.

QAF DIGITAL LTD retains control of the hosting environment, templates, reusable components, core code, automation connectors, internal tools, and managed infrastructure unless a buyout is completed.

11. Buyout

The Client may request a buyout. Buyout price and transfer items must be agreed in writing.

The buyout agreement must specify what is transferred. Nothing is transferred unless fully paid and confirmed in writing.

Transfer items may include:

  • Website files
  • Custom code
  • Content
  • Domain
  • CMS / admin access
  • Hosting access
  • Third-party licences
  • Automation workflows
  • AI tools
  • Email accounts
  • Database / export data

12. Domain

If the Client owns the domain, the Client remains responsible for domain renewal and DNS access.

If QAF DIGITAL LTD buys or manages the domain, ownership and transfer rules must be stated on the order form.

Domain fees may be separate unless included in the package.

13. Client responsibilities

The Client must provide:

  • Correct business information
  • Text content
  • Images and logos
  • Product or service details
  • Legal pages where required
  • Access credentials if needed
  • Feedback and approvals
  • Payment on time

14. Delays and payment

Delays caused by missing Client materials may delay delivery and do not cancel payment obligations after activation unless agreed in writing.

15. Content responsibility and indemnity

The Client confirms they have rights to all content, images, products, trademarks, and materials they provide.

The Client is responsible for legality, accuracy, advertising claims, product descriptions, prices, and sector compliance.

The Client indemnifies QAF DIGITAL LTD against claims caused by Client-provided content, illegal content, or misleading information.

16. Support and revisions

Support, revisions, edits, and response times depend on the selected package.

Unused monthly edits do not automatically roll over unless agreed in writing.

Major redesigns, new features, new pages, integrations, or custom development may require additional fees.

17. Acceptable use

The website must comply with our Acceptable Use Policy.

QAF DIGITAL LTD may suspend immediately for illegal content, fraud, malware, spam, phishing, hate or abusive content, payment fraud, sanctions risk, security threats, copyright or trademark infringement claims, or any activity prohibited by law.

18. Cancellation

The Client may cancel before the next renewal date.

Cancellation does not normally refund the current active billing period.

Access may continue until the end of the paid period unless there is breach, fraud, abuse, or legal or security risk.

19. Refunds

Refunds follow our Refund Policy.

Setup fees are normally non-refundable once onboarding, planning, design, setup, hosting, or technical configuration has started.

Current monthly fees are normally not refundable if the service was active, hosted, available, or support was provided.

20. Data export

On cancellation or termination, the Client may request export of their own content and data where technically possible and legally allowed.

Export does not include QAF DIGITAL LTD proprietary code, templates, internal tools, managed infrastructure, or reusable automation systems unless agreed in writing.

21. USDT TRC20 payments

If the Client pays by USDT TRC20: payment is manual only; TxID is required; payment is not complete until confirmed on-chain and reviewed internally; network fees are paid by the Client; wrong network or wallet may cause permanent loss.

Crypto refunds, if approved, may be in fiat or crypto at QAF DIGITAL LTD’s discretion and subject to compliance checks.

22. Electronic signature

Electronic signature is valid and binding.

Signed PDF copies may be stored with date and time, IP address, email address, signature certificate, signed document copy, and Client identity details.

The Client receives a signed copy automatically or by email.

23. Governing law

This agreement is governed by the laws of England and Wales.

For business clients, the courts of England and Wales have jurisdiction.

For consumers, this does not affect mandatory rights or jurisdiction protections in their country of residence, including EU and Spain consumer protections.
